Welcome to PropFlow. These Terms of Service ("Terms") govern your access to and use of PropFlow's property management platform, website, and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Definitions

• "Service" refers to the PropFlow property management platform, including the website, mobile applications, and all related services.
• "User" refers to any individual or entity who accesses or uses the Service, including property owners, landlords, property managers, and tenants.
• "Account" refers to the registered account created to access the Service.
• "Content" refers to all information, data, text, images, and other materials uploaded to or generated through the Service.

2. Account Registration

To use our Service, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

3. Service Description

PropFlow provides a property management platform that enables users to:

• Manage property and unit information
• Track and manage tenant relationships
• Collect rent payments via M-Pesa integration
• Send automated notifications and reminders
• Generate reports and analytics
• Handle maintenance requests
• Store and manage documents

4. Subscription and Payments

4.1 Subscription Plans

We offer various subscription plans with different features and limits. Plan details and pricing are available on our website. We reserve the right to modify pricing with 30 days' notice.

4.2 Free Trial

New users may be eligible for a free trial period. At the end of the trial, you must select a paid plan to continue using the Service.

4.3 Billing

Subscription fees are billed in advance on a monthly or annual basis. Payments are processed through M-Pesa or other approved payment methods. You are responsible for providing accurate billing information.

4.4 Refunds

Subscription fees are generally non-refundable. However, if you cancel within 7 days of initial subscription and have not extensively used the Service, you may request a refund by contacting support.

5. User Responsibilities

As a user, you agree to:

• Use the Service in compliance with all applicable laws and regulations
• Provide accurate information about properties, tenants, and transactions
• Maintain appropriate records and documentation
• Respect the privacy and rights of tenants and other users
• Not use the Service for any unlawful or fraudulent purposes
• Not attempt to interfere with or compromise the Service's integrity
• Comply with Kenyan landlord-tenant laws and regulations

6. Payment Processing

PropFlow facilitates rent collection through M-Pesa integration. By using this feature:

• You acknowledge that PropFlow acts as a technology platform and not a financial institution
• You agree to M-Pesa's terms and conditions for payment processing
• You understand that transaction fees may apply
• You accept responsibility for ensuring accurate payment information
• You agree that PropFlow is not liable for payment disputes between landlords and tenants

7. Intellectual Property

The Service, including its design, features, and content created by PropFlow, is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express permission.

You retain ownership of Content you upload to the Service. By uploading Content, you grant PropFlow a license to use, store, and process that Content to provide the Service.

8. Limitation of Liability

To the maximum extent permitted by law:

• PropFlow provides the Service "as is" without warranties of any kind
• We do not guarantee uninterrupted or error-free service
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees paid by you in the past 12 months
• We are not responsible for disputes between landlords and tenants
• We are not liable for losses resulting from payment processing issues

9. Indemnification

You agree to indemnify and hold PropFlow harmless from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

10. Termination

You may terminate your account at any time by contacting support. We may terminate or suspend your account if you violate these Terms. Upon termination:

• Your right to use the Service will immediately cease
• You may request export of your data within 30 days
• We may delete your data after 90 days
• Provisions regarding liability and disputes survive termination

11. Dispute Resolution

Any disputes arising from these Terms or the Service shall be:

• First attempted to be resolved through good-faith negotiation
• If unresolved, submitted to mediation in Nairobi, Kenya
• If mediation fails, resolved through arbitration under Kenyan law

These Terms are governed by the laws of Kenya.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.
